(\u201cCodo Advisory\u201d) hereby announces that MCP Japan Holdings Co., Ltd. (\u201cMCP\u201d), which has held a 50% equity stake in Codo Advisory, acquired the remaining 50% of our shares from its joint venture partner, Amita Holdings Co., Ltd. (\u201cAmita HD\u201d), on December 26, 2025.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\" style=\"margin-top:14px;margin-bottom:14px\">Background and Purpose<\/h5>\n\n\n\n<p class=\"wp-block-paragraph\">Since its establishment in 2022, Codo Advisory has been supporting the formulation and execution of sustainability strategy and decarbonization strategy for corporations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Looking ahead, we recognize the importance of integrating Codo Advisory\u2019s accumulated expertise with MCP Group\u2019s professional capabilities as a financial institution, thereby further advancing sustainability support that is closely aligned with financial practices and decision-making.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Based on this strategic rationale, Codo Advisory has been converted into a wholly owned subsidiary of MCP through the aforementioned transaction.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Going forward, Codo Advisory will enhance its service offerings as a specialized sustainability organization within the finance sector, providing sustainability transformation (SX) and impact-related support that links the financial assessment of sustainability information with investment and financing decisions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The strategic partnership amongst Amita, the MCP Group, and Codo Advisory will be maintained, and the parties will continue to strengthen collaboration going forward.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\" style=\"margin-top:14px;margin-bottom:14px\">Future Business Operations<\/h5>\n\n\n\n<p class=\"wp-block-paragraph\">Following this share acquisition, there will be no changes to Codo Advisory\u2019s business operations or management structure.
