Notice on Share Transfer
Codo Advisory, Inc. (“Codo Advisory”) hereby announces that MCP Japan Holdings Co., Ltd. (“MCP”), which has held a 50% equity stake in Codo Advisory, acquired the remaining 50% of our shares from its joint venture partner, Amita Holdings Co., Ltd. (“Amita HD”), on December 26, 2025.
Background and Purpose
Since its establishment in 2022, Codo Advisory has been supporting the formulation and execution of sustainability strategy and decarbonization strategy for corporations.
Looking ahead, we recognize the importance of integrating Codo Advisory’s accumulated expertise with MCP Group’s professional capabilities as a financial institution, thereby further advancing sustainability support that is closely aligned with financial practices and decision-making.
Based on this strategic rationale, Codo Advisory has been converted into a wholly owned subsidiary of MCP through the aforementioned transaction.
Going forward, Codo Advisory will enhance its service offerings as a specialized sustainability organization within the finance sector, providing sustainability transformation (SX) and impact-related support that links the financial assessment of sustainability information with investment and financing decisions.
The strategic partnership amongst Amita, the MCP Group, and Codo Advisory will be maintained, and the parties will continue to strengthen collaboration going forward.
Future Business Operations
Following this share acquisition, there will be no changes to Codo Advisory’s business operations or management structure. Codo Advisory will continue to provide its services, and there will be no impact on service offerings or quality. In addition, there will be no changes to Codo Advisory’s executive team, and the company will remain fully committed to maximizing value for its clients.
